The Incorporated Private Partnerships Act, 1962

Section 42: Where one partner has paid a premium to another on entering into a partnership agreement for a fixed term and the firm is wound up or the partner paying the premium ceases to be a partner of the partner to whom the premium was paid, the Court may order the return of the premium, or such part thereof as it thinks just, having regard to the terms of the partnership agreement, to the length of time during which the partnership has continued and to all the circumstances of the case, unless,
(a) the winding up of the firm or the cessation of the partnership is, in the judgment of the Court, wholly or chiefly due to the misconduct of the partner who paid the premium; or
(b) the firm is wound up or the partnership ceases as a result of an agreement which contained no provision for a return of any part of the premium.

5. Registrar Examines, Approves & Issues Certificate of Incorporation As well as CERTIFIED TRUE COPY(CTC) of Form B
