The Incorporated Private Partnerships Act, 1962
Section 18: Every person who by words spoken or written or by conduct represents himself, or who knowingly suffers himself to be represented, as a partner in a particular firm shall be liable as a partner to any other person who has, on the faith of any such representation, allowed the firm to incur debts or obligations to him whether the representation has or has not been made or communicated to such other person by or with the knowledge of the apparent partner making the representation or suffering it to be made:
Provided that where after a partner's death or retirement the firm continues to do business in the same firm name, the continued use of that name or of the former partner's name as part thereof, shall not of itself make his estate or him liable for any debts or obligations of the firm contracted or incurred after his death or retirement.
Procedure to Follow
1. Applicant may purchase and complete Form A for Incorporation of Partnership from the in-house bank or Download
2. Provide stamped Partnership agreement at Land Valuation Board
3. Submit filled forms at the Partnership Registration Counter for Verification and Capturing or via Online
4. Pay processing fee of GHS160.00 at the in-house bank or via Online
5. Registrar Examines, Approves & Issues Certificate of Incorporation As well as CERTIFIED TRUE COPY(CTC) of Form B
6. File Annual Returns at Fifty Ghanaian Cedi(GHS 50) together with Audited Account...
